1. Acceptance of Terms
By accessing our website, creating an account in our Client Portal, or subscribing to any paid plan provided by Flawless Integration ("Company", "we", "us"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use our website or services.
2. Description of Services
Flawless Integration provides website creation, hosting, analytics tools and customer engagement software for local service businesses.
Base Hosting Plan ($199.99 USD/month): a custom website, hosting, security management, mobile optimization, search engine optimization (SEO) best practices, and Client Portal access. It does not include an AI agent.
AI Agent Plan ($299.99 USD/month): everything in the Base Plan, plus an AI agent configured to answer site inquiries and capture leads. It includes a built-in booking calendar that can be connected to Google Calendar. If Google Calendar is not connected, bookings are requests until confirmed with the person booking.
Prices are shown in USD (or CAD where offered) and are plus applicable taxes. Website copy and design are generated with artificial intelligence (AI) and reviewed by us before publishing. See our AI Disclosure.
3. Client Portal and Account Management
When available, the Client Portal lets Customers view performance metrics, submit site modification requests, manage billing, and cancel services. You are responsible for keeping your login credentials confidential and for all activity under your account.
Your plan includes up to 3 content change requests per month. Additional or major redesign requests may be charged separately.
4. Artificial Intelligence Tools
Nature of AI: our AI tools use machine learning models that may occasionally produce inaccurate responses, misquote pricing, or misread availability.
Verification: Customer agrees to review their website content and to independently verify all leads, inquiries and appointments captured by the AI agent.
Limitation: to the extent permitted by law, we are not liable for missed appointments, double-bookings, uncaptured leads or pricing discrepancies resulting from automated AI interactions.
5. Subscriptions, Payments and Cancellation
Billing: subscriptions renew automatically each month and are charged through our payment processor, Stripe.
Cancellation: you may cancel at any time by emailing jaysaihq@gmail.com or, when available, through the Client Portal. Cancellation takes effect at the end of the current paid billing period.
Refunds: no partial or prorated refunds are given for unused time, except as described in our Refund and Cancellation Policy, including the 7-day money-back guarantee on your first payment.
Failed payments: if a payment fails, you have a 14-day grace period to update your payment details. Accounts still unpaid after 14 days are suspended and the website is taken offline.
After cancellation: your website is taken offline and your portal access ends. We keep your data for 30 days so you can return, then delete it. You may request a copy of your text and images during that period.
6. Customer Content and Acceptable Use
Ownership: Customer keeps ownership of all logos, trademarks, text and media submitted to us, and grants us a non-exclusive license to host, display and process them solely to provide the service.
Rights: Customer confirms they own or have permission to use everything they submit.
Accuracy and licensing: Customer is solely responsible for the accuracy of all business details, hours, prices, claims and licenses shown on their site.
Prohibited use: the service may not be used for illegal activity, deceptive trade practices, fraud, adult or sexually explicit content, violence or hate, or spam. We may refuse, suspend or remove any site that breaks this rule.
7. Intellectual Property
Flawless Integration retains all rights to the platform, templates, software, Client Portal, deployment systems and automation workflows.
8. Disclaimer of Warranties
The platform and services are provided "AS IS" and "AS AVAILABLE". We build sites using SEO best practices, but we do not guarantee search engine rankings, visitor volumes, leads, conversion rates, sales or financial performance. We do not guarantee uninterrupted or error-free service.
9. Limitation of Liability
To the maximum extent permitted by law, Flawless Integration is not liable for any indirect, incidental, special or consequential damages, including loss of profits or business opportunity. Our total liability for any claim arising under these Terms is limited to the fees paid by Customer in the three (3) months before the claim.
10. Privacy
Our handling of personal information is described in our Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. We will email you about material changes. Continued use of the service after an update means you accept the revised Terms.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
